ANNOUNCEMENT

"Business as usual" under a strong group: Visi Group

The shareholders of AtéCé and Wifac are exploring, together with an experienced investor (MKB Fonds/BlueMill), the possibility of combining both companies under a new group: Visi Group.

In this context, a concentration application has been submitted to the ACM (Authority for Consumers and Markets). Additionally, suitable financing is being arranged to support the group's future growth strategy.

Both major shareholders of the companies will guide the intended group formation in different positions. Bert Schelhaas will lead the Visi Group and shape the further consolidation strategy in Europe, taking charge of the group's day-to-day management. Marcel Otto will focus on ensuring the integration of Wifac under the Visi Group proceeds optimally for all stakeholders. The management teams of both companies will remain active in their current roles and responsibilities, playing a key role in the group's further development.

Both companies will continue to operate autonomously with their own go-to-market strategies, culture, brands, and teams. Synergies will be leveraged where possible to optimally serve and improve the interests and continuity of customers, suppliers, and employees. The intended coalition will be able to serve customers even better and be stronger to invest. The large-scale professional production and processing of chemicals, washcloth rolls, ink mixing, and rubber blankets are important core competencies of AtéCé, and the strengths in service can be combined in Wifac's 24/7 service and application competence.

All employees of both companies are necessary for the success of the intended consolidation strategy and are more than welcome to stay within the companies. The contact persons for customers and suppliers remain unchanged. Parties aim to complete the intended group formation by the end of March 2026.
